1. Overview

This Hosting Agreement is entered into by and between Microvera Ltd and you, the customer, and is effective as of the date of your electronic acceptance. This Agreement outlines the terms and conditions for using Microvera Ltd’s hosting services (the “Services”) and constitutes the entire agreement between you and Microvera Ltd regarding the subject matter.

Your electronic acceptance of this Agreement signifies that you have read, understood, and agreed to its terms, along with Microvera Ltd’s Terms of Service and related policies. Terms like “we,” “us,” or “our” refer to Microvera Ltd, while “you,” “your,” “User,” or “customer” refer to the individual or entity accepting this Agreement. This Agreement does not confer third-party rights or benefits.

We reserve the right to modify this Agreement or its related policies at any time. Any changes will take effect immediately upon posting to our website. Continued use of the Services indicates your acceptance of the updated Agreement. It is your responsibility to keep your account information up to date, including your email address, as we may notify you of changes via email.


2. Description of Services

Microvera Ltd offers various hosting plans:

Web Hosting: Your website is hosted on shared servers with a unique DNS. Resources are shared among multiple customers.

Virtual Private Server (VPS): You share the server with others but have full control over your server space, configuration, root access, and a dedicated IP address.


3. Limitations and Account Termination

Server Migration:
We may migrate servers as needed. Dedicated IP addresses may change during migration.

Service Termination:
Upon termination, you must discontinue use of the Services and relinquish assigned IPs and server names. You are responsible for moving your website or server content before termination. Content not moved prior to termination will be deleted, and copies will not be provided.

Free Products:
Free products associated with the Services will be canceled upon termination.


4. Your Obligations

Prohibited Activities:
You agree not to:

  • Use the Services for abusive activities like mail bombing, denial of service attacks, or server hacking.
  • Use your site as an anonymous gateway or for excessive resource consumption.
  • Violate security policies or host offensive, misleading, or malicious content.

Storage and Security:
You are responsible for:

  • Preventing loss or damage to your data.
  • Maintaining backups of your content.
  • Ensuring the security and integrity of your data.

Microvera Ltd provides weekly backups for shared and reseller accounts as a courtesy. Accounts exceeding 10GB of disk space are excluded from backups.

Data Protection:
You are solely responsible for compliance with data protection regulations like GDPR. Microvera Ltd does not act as a controller or processor of your clients’ personal data unless explicitly stated.


5. Provisions Specific to Web Hosting

Storage Limits:
Hosting plans are subject to limitations like database size, CPU power, and RAM. Exceeding these limits may result in suspension or resource restrictions.

Prohibited Content:
Your website may not host the following:

  • Image hosting scripts for anonymous uploads.
  • File dumps or mirror scripts.
  • Excessive audio streams or SMS gateways.

Unlimited Disk Space/Bandwidth Plans:
Disk space and bandwidth are intended for standard business or personal website operations. Excessive usage may require plan upgrades.


6. Provisions Specific to VPS Hosting

cPanel:
Adding cPanel to your server binds you to the cPanel End User License Agreement (EULA).


7. Service Uptime Guarantee

Microvera Ltd guarantees 99.9% uptime per month. If this is not met, you may request a credit of 5% of your monthly hosting fee. This guarantee excludes interruptions caused by scheduled maintenance, custom scripts, or external factors.


8. Money-Back Guarantee

Refundable products and services are subject to our Refund Policy.


9. Third-Party Software

Definition:
Third-party software refers to software owned by external providers.

Usage Terms:

  • You may use third-party software only as part of the Services.
  • Personal information may be shared with providers as required.
  • You agree to the software provider’s terms and conditions.

Microvera Ltd is not liable for third-party software issues or warranties.
